Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Orchestrate platform, APIs, and related services provided by Orchestrate Payments Ltd (“Orchestrate”, “we”, “us”). By creating an account or using our services, you agree to these Terms.

1. Definitions

  • “Platform” means the Orchestrate payment orchestration software, APIs, dashboards, and associated services.
  • “Customer” means the legal entity that has registered for an Orchestrate account.
  • “End User” means a person who makes a payment through a Customer's integration with the Platform.
  • “Transaction” means a payment instruction submitted through the Platform.

2. Account registration

You must provide accurate and complete information when registering. You are responsible for maintaining the security of your account credentials. You must promptly notify us of any unauthorised access or suspected breach at security@orchestrate.global.

You must be a legal entity or individual of at least 18 years of age to use the Platform. We reserve the right to refuse registration at our discretion.

3. Permitted use

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Platform to process payments for prohibited business categories (see our Acceptable Use Policy)
  • Circumvent or attempt to circumvent fraud detection or compliance controls
  • Reverse engineer, decompile, or disassemble the Platform
  • Share API credentials with third parties or use them in publicly accessible code
  • Use the Platform in any manner that could damage, disable, or impair our services

4. KYC and compliance

You agree to provide all information and documentation required for us to comply with our Know Your Customer (KYC) and Anti-Money Laundering (AML) obligations. We may suspend or terminate your account if required information is not provided or if we determine that you are in violation of applicable laws.

5. Fees and payment

Fees for the Platform are set out in your Order Form or on our Pricing page. All fees are exclusive of applicable taxes. We will invoice you monthly in arrears unless otherwise agreed. Fees are non-refundable except as required by law.

We reserve the right to change our fees with 30 days' written notice. Continued use of the Platform after the effective date of a fee change constitutes acceptance of the new fees.

6. Intellectual property

Orchestrate retains all intellectual property rights in the Platform. These Terms do not grant you any ownership rights. You retain ownership of any data you submit to the Platform.

You grant us a limited licence to process your data solely as necessary to provide the Platform services.

7. Confidentiality

Each party agrees to keep the other party's confidential information (including API keys, transaction data, and business information) confidential and not to disclose it to third parties except as required by law or with the other party's prior written consent.

8. Data protection

We process personal data in accordance with our Privacy Policy and applicable data protection law. Where we process personal data on your behalf, the terms of our Data Processing Agreement apply.

9. Uptime and SLA

We target 99.99% monthly uptime for the core payment processing API. Scheduled maintenance and events outside our reasonable control are excluded. Our SLA credits are the sole remedy for downtime. Full SLA terms are available on request.

10. Warranties and disclaimers

We warrant that the Platform will perform materially in accordance with its documentation. To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

11. Limitation of liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the fees paid by you in the 12 months preceding the claim.

We shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or data, even if advised of the possibility of such damages.

12. Termination

Either party may terminate these Terms on 30 days' written notice. We may terminate or suspend your account immediately if you breach these Terms, fail KYC requirements, or engage in activity that poses legal, regulatory, or reputational risk.

On termination, your access to the Platform will cease. We will retain your data for the period required by law, after which it will be deleted.

13. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to these Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes. Continued use of the Platform after the effective date constitutes acceptance.
